These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Chama MicroGroups, a Washington State company, with its principal business address at 10011Bridgeport Way SW STE 1500 #166, Lakewood, WA 98499 (hereinafter “Chama”). These Terms govern your access to and use of Chama’s platform, which includes its website, mobile application, and all associated services and features (collectively, the “Platform”).
By accessing, registering for, or using the Platform, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.
1. Overview of Services
Chama provides a digital financial platform designed to facilitate:

The pooling of community-based funds for group projects, initiatives, or needs;

The collective contribution and management of funds for investment purposes;

Participation in rotating savings and credit associations (commonly known as “merry-go-rounds” or ROSCAs);
-
Transparent management of group financial activity, including contribution tracking, disbursement scheduling, and communication tools.
Chama does not offer investment advisory services, fiduciary oversight, or fund management services. All financial activities on the Platform are user-directed and executed within self-governed groups.
2. Eligibility and Account Registration
To register for an account and access the Platform’s services, you must:

Be at least 18 years of age;

Have the legal capacity to enter into binding agreements;

Provide accurate, complete, and current information during the registration process.
Chama reserves the right to reject or terminate any account that provides false or misleading information or
violates these Terms.
3. Formation and Operation of Groups
3.1 Group Types
Users may form or join different types of financial groups on the Platform, including but not limited to:

Project Funding Groups: formed to raise and manage funds for specific group objectives or community projects;

Investment Groups: formed for the express purpose of pooling capital to invest in collective ventures such as securities, property,businesses, or other assets;
-
Merry-Go-Round Groups (ROSCAs): structured around recurring contributions and scheduled disbursements to members in rotation.
3.2 Group Agreements
Each group shall establish its own internal rules, including contribution schedules, disbursement order, voting procedures, investment guidelines, and dispute mechanisms. These internal agreements are binding upon group members and must comply with the Platform’s general policies.
Chama is not a party to, nor responsible for enforcing, individual group agreements.
4. User Contributions and Financial Commitments
4.1 Contributions

Users are responsible for making timely contributions as defined by their group’s agreed-upon schedule.

Contributions may be processed through third-party payment processors or Chama’s integrated financial tools.
4.2 Withdrawals and Disbursements

Group administrators or designated members may authorize disbursements in accordance with group rules.

Disbursement scheduling tools are provided as a convenience only and are not legally binding on Chama.
5. Investment Activities
5.1 Risk Acknowledgment

All investment activities conducted through Chama’s Platform are user-directed and inherently involve risk. Chama does not endorse, guarantee, or underwrite the performance of any investment decision made by a group or its members.

Users acknowledge and accept full responsibility for their participation in investment pooling activities.
5.2 Regulatory Compliance
It is the responsibility of each group to ensure that their investment activities comply with applicable securities laws, regulations, and licensing requirements in their jurisdiction.
6. Platform Fees and Charges
Chama may impose transaction, subscription, or service fees associated with platform usage. All applicable fees will be disclosed prior to transaction confirmation. Users are also responsible for any third-party banking or processing fees incurred.
7. User Conduct and Prohibited Activities
Users agree not to:

Misrepresent their identity or financial position;
-
Engage in fraud, collusion, or unauthorized use of funds;
-
Harass, threaten, or abuse other users;
-
Use the Platform for unlawful, illegal, or unethical activities.
Violation of these provisions may result in account suspension or permanent termination at Chama’s sole discretion.
8. Dispute Resolution

Chama encourages users and groups to resolve disputes internally and in good faith. Chama is not a mediator, arbitrator, or enforcement body for intra-group conflicts, defaults, or financial losses arising from user behavior.

Where available, dispute resolution tools (e.g., chat logs, audit trails) may assist groups in resolving conflicts.
9. Limitation of Liability
To the maximum extent permitted by law, Chama shall not be liable for:

Losses arising from group-managed investments or project failures;
-
User non-compliance with group obligations;
-
Platform outages, delays, or data inaccuracies;
-
Errors resulting from third-party payment processors or financial institutions.
Chama’s cumulative liability for any claim shall not exceed the total amount of fees paid by the user in the six (6) months preceding the event giving rise to the claim.
10. No Fiduciary Relationship

Nothing in these Terms creates a fiduciary, agency, or partnership relationship between users and Chama.

Chama acts solely as a technology provider and does not act in a trustee or financial advisor capacity.
11. Intellectual Property
All content, software, and branding associated with the Platform are the intellectual property of Chama or its licensors. Users are granted a limited, non-exclusive, non-transferable license to use the Platform for personal or group financial management purposes.
12. Termination and Suspension
Chama reserves the right to suspend or terminate user accounts with or without notice for:

Breach of these Terms;
-
Fraudulent or abusive conduct;
-
Requests by law enforcement or regulatory bodies;
-
Operational or technical risks.
Upon termination, all rights granted herein shall immediately cease.
13. Amendments
These Terms may be updated from time to time at Chama’s sole discretion. Material changes will be communicated via email or Platform notice. Continued use of the Platform following such updates constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Washington, without regard to its conflict of law principles. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the state or federal courts located in Pierce County, Washington.
